I have acad 2009 running in both win7-64 and in the xp-mode-32bit. I don't recall any serious issues with either install process - may have had to 'run as administrator' for the win7 install. You may have a problem with the xp mode install itself...

Unless you have reason to do it, avoid using xp mode. There is no hardware graphics support at all, so the cad interface is really clunky. I have had to do this because autodesk refuses to allow us to install a 32 bit version on a 64 bit OS (which should work fine), and I need 32-bit acad to interface with certain Bentley products.
